Abstract (EN)
Joint stock companies are the trading companies that have the ability to keep large numbers of shareholders and create large capitals by collect small savings that are ineffective solely. Because of this existing structure, conflicts among shareholders, company creditors and company are quite common in such joint stock companies. When the establishment of the joint stock company, which is one of the capital companies, is examined, it is seen that it requires more expenses and difficulties compared to individual companies. By the Turkish Commercial Code No. 6102, the regulations regarding the establishment and the liability arising from establishment have been improved and changed compared to the Commercial Code No. 6762. However some law articles that are dispersed and need to be interpreted have emerged. For these reasons, it is very significant to determine the status of the establishment processes, the liabilities arising from establishment, the liable persons and the fate of the liability.
