Abstract (EN)
The share could be freely transferred in the joint-stock companies. However, a number of restrictions have been introduced on the basis of freely transferable shares by act of Turkish Commercial Code and a number of special laws in order to protect joint stock companies and shareholders and to prevent undesirable persons from having shares. In order to ensure the functioning of the capital market in a reliable, accountable, efficient, stable, fair and competitive environment restrictions have been imposed on the share transfers of joint stock companies operating in the capital market through regulations published in accordance with the capital market law. Restrictions on the share transfers of joint stock companies operating in the capital market within the scope of the legislation have been researched in this study.
