Examination and research duty of trade registry manager

There is a requirement for a transparent and reliable system in commercial life which is permanently developing and changing. In line with this requirement, the trade registry plays a fundamental role in the recording reliable information and providing transparency and easy access for these information. As a matter of fact, it is expected that commercial actors will be able to keep up with the developments in the field of commercial activities properly and the actors that is in this field of activity will have consistent and reliable legal relationships with each other. In this respect, the matters to be recorded in the trade registry must be in accordance with the law and truth. Otherwise, people are more likely to suffer damage. In order to keep the records in the trade registry in accordance with the law and truth, trade registry manager has been granted with investigation duty and authority regarding the matters requested to be recorded by the legislator. In the first part of our thesis study, the trade registry and its qualifications are examined. In the main part of study, the trade registry organization, the obligations and authority of the trade registry manager regarding the investigation duty and the extent of the scope of this subject have been examined in detail. Efforts have been made to carry out evaluation by means of including the approaches in the doctrine and judicial decisions regarding the determination about the limits of the scope of the investigation duty and authority. The legal consequences of the investigation duty are discussed. In the third part of our thesis study, in general terms, the responsibility of the trade registry manager for the damages arising from keeping the registry, as well as the responsibility of the state and the relevant chamber, which are held directly responsible for the damages, are examined.
