Abstract (EN)

The competition motive, which is a requirement of the race environment, prepares people in certain statuses to use the information they obtain during their duties for themselves or for the benefit of others. As the competition environment is unlimited, competition system is tried to be controlled by essential legal regulations as it will prepare the ground for many malicious uses. Constitution of Republic of Turkey gives everyone the right and freedom to work whichever area they desire and to start private enterprise according to Article 48. The basis of competition is the result of the private enterprise mentioned here. In the first part of this study, the company, limited company, competition, the concepts of non-competition, the elements of the limited company, the limits, basis, purpose and characteristics of the non-competition; then in the second part, the non-competition in terms of the partners of the limited company, their effects on the competitive environment, the formation of the non-competition, the boundaries and the evaluation of the partners according to their positions in the company are given. In the last section, the concept of manager in limited companies, the obligations of the managers, the regulations on the non-competition, the resignation and orders of discharge were examined in general terms, the effects of the resignation and the acquittance on the non-competition were evaluated.
