Abstract (EN)

The voting right regulated under Article 434 of the Turkish Commercial Code No. 6102 is a shareholding right that enables the shareholders of a joint stock company to make positive, negative, or abstaining statements on the matters discussed in the general assembly of the company and to participate in the management of the company. Preventing the shareholder from exercising their voting right due to a reason arising from the law is expressed as the suspension of the shareholder's voting right. The main reason for the suspension of voting rights in joint stock companies is the idea of balancing the conflicts of interest between the shareholders and the company and ensuring stability in the general assembly, which is the company's decision-making body. A shareholder whose voting rights are suspended shall not vote in the general assembly and shall not benefit from managerial shareholding rights that have the power to influence the management of the company. In this thesis, the suspension of the shareholder's voting right is analyzed within the scope of the cases where the voting right is suspended, the provisions and consequences of the suspension of the voting right, and the violation of the provisions of the suspension of the voting right.
