Abstract (EN)

In today?s world, especially in a century when globalization is strongly felt in every aspect of our daily lives, as well as in commercial life partnerships are in need of expanding into new areas to survive and carry on their commercial activities in a sound and efficient manner. Hereat, new partners are being included in partnerships? structure for expansion purposes.By means of those expansions, partnerships are able to reach larger masses. Consequently, the advantage to manage their commercial activities more efficiently is caught and the opportunity to increase their profit margin is provided.However, these expansions bring set of disadvantages while it creates aforementioned advantages. In other words, because of increase in number of partners, a closed corporation will be faced with certain difficulties and weaknesses in terms of management and control in its internal structure. The best example of such is seen in relations between partners. For example, as the number of partners in closed corporations increases, the chances for all partners in participating in control mechanism over partnership decreases. Naturally, under such circumstances, certain groups of partners get chance of taking control over management to pursue their personal interests and obtaining an unjustified benefit.In our study, we had a chance to investigate what were the legal means that could be used in case of controversy against subjective goodwill codes, core contract of partnership and the law of general assembly resolution, which provide all partners of closed partnership with the rights over partnership. In addition, analysis was made to identify under which circumstances and by whom these means could be used.In our thesis named as quashing of general assembly resolution decisions in closed partnerships, we tried to opine on underlying topic in its general guideline under cover of related general rules of Turkish Commercial Code, Supreme Court decisions and Special law provisions.Keywords: 1) Closed Partnership, 2) General Assembly, 3) Cancellation, 4) Law Action for Nullity, 5) Invalidity
