Abstract (EN)

Turkish Commercial Code No. 6102 introduces positive changes in the provisions pertaining to limited liability companies when compared to the provisions of the previous Turkish Commercial Code No. 6762. The most important organs of limited liability companies are the general assembly and the manager/directors. The purpose of our study is to determine the procedures applied before and after the meetings held in line with the characteristics and qualifications of the general assembly and to determine the decisions taken. In this context, the study first analyzes the basic elements of the limited liability company within the framework of the characteristics of these bodies. In particular, the general assembly, which has a protective and regulatory function, is explained with the regulations in the Turkish Commercial Code No. 6762 in order to make a comparison with the Turkish Commercial Code No. 6102. The types of meetings of the general assembly of a limited liability company and the issues related to the convening of the general assembly are analyzed in line with the references made to joint stock companies. The functioning of the general assembly meeting and the decisions taken as a result of the meeting are discussed by utilizing the Turkish Commercial Code No. 6102 and other legislation on limited liability companies. In addition, the opinions in the doctrine are included in order to clearly understand the legal nature of these decisions.
