Abstract (EN)
A number of regulations have been made in the Turkish Capital Market Law in order to prevent the asset transfers of the publicly-held corporation to related party by directors and those who have control power. One of these regulations is Article 21 of the Capital Markets Law, which regulates the prohibition of disguised profit transfer. In this thesis, which consists of three parts, the application conditions of this article and the characteristics of the the prohibition of disguised profit transfer have been examined. In this context, the subjects of the transactions that constitute the disguised profit transfer were analysed. In addition, how the transfer can be carried out was emphasized and what sanctions would be applied as a result of the transfer was evaluated.
