The situation foreign banks in Turkish law and the establisment, activity and expiration of banks

Our study is named "The Situation of Foreign Banks in Turkish Law and The Establishment, Activity and Expiration of Banks" consist of three main chapters. The reason why we choose this subject is to show the difference between the Turkish banks and foreign banks therefore to determine the differences between the Turkish and the foreign banks between them arising from the Law of Foreigners. First chapter of our thesis deals with the historical development of banks, general features of banks, and the national and international institutions effective in the sector of banking. Criteria about the determination of nationality of companies as corporate legal person is deals with in this chapter. Also, considered the opinions about the determination of banks' nationalities, factors important in the fixation of nationality of Turkish and foreign banks and the classification of the banks in Turkey according to their nationality. Second chapter of our thesis evaluates the regulations about the establishment of Turkish and foreign banks. Also, the principles of establishment of banks in European Union and US law are elaborated. Criteria about the establishment of Turkish banks and the foreign banks to open up branches in Turkey according to Turkish Law of Banking are also mentioned. Besides, offshore banking, legal regulations about the foreign banks to establish representations and the differences according to nationality law have been evaluated. Finally, our opinion about the establishment of one-man banking is conveyed. Third chapter gives information about the articles and regulations in foreigners' law and Banking Code about the activity and expiration of foreign banks. Within this framework, conditions to receive operational permission, permissions that should be taken, reports that banks have to submit and crime of unpermitted banking activity were elaborated. Finally, our opinion on the expiration of banks and voluntary expiration is mentioned. Keywords: Foreign banks, nationality, establishment, activity, expiration.
