Abstract (EN)
Public companies are regulated by Turkish Capital Market Law no. 6362. By this Law, a public company is a joint stock company (with an exemption of those who raise money through crowdfunding) whose shares are offered to public or are deemed to be offered to public. Thus, going public and going private transactions shall be carried out according to the Law. Different legal systems may take a different approach considering rights and obligations related to being a public company. Even though Turkish legal system aims to broaden public company status, a complex system which subordinates will of the company, is emerged by regulations made thereunder. Within this master thesis, both going public and going private transactions and their consequences examined thoroughly. It is argued whether provisions of the Turkish Capital Market Law and of Capital Markets Board's communiqués' are applicable, and if they are applicable what their scope of application is.
