Abstract (EN)

Due to lack of legal personality, ordinary partnership is based on personality of members and therefore changes in the membership status also lead to changes in the order of right and obligation in the partnership. From this perspective, in this study, changes in ordinary partnership structure which can be occured as admission of a new member, transfer of membership, withdrawal and expulsion from partnership have been examined. Thus, it is aimed to determine requirements, legal nature, results in internal and external relationship of aforementioned changes. In resolving these issues, academic studies and court decisions in German, Swiss and Turkish law have been utilized. In the first section of our study, general information about ordinary partnership, partnership contract and terms of membership and share has been expressed. In the second section, admission contract which is required for admission of a new member has been discoursed. In the third section, after membership's transferability problem has been examined, transfer contract and its results have been explained. In the fourth section, prerequisites for withdrawal/expulsion from partnership and subsequently withdrawal/expulsion reasons specified in TCO Art.633 have been evaluated. Ultimately, results of leaving partnership have been discussed.
