With the Article 531 of the Turkish Commercial Code numbered 6102, the minority holding the shares presenting the ten percent of the capital in closed joint-stock corporations and the minority holding the shares representing the five percent of the capital in publicly-held joint-stock corporations are granted the right to request the dissolution of the Corporation under justified grounds through a lawsuit. In this study, the dissolution of the corporation under justified grounds which is envisaged as one of the termination procedures and an effective solution for the protection of minority shareholders' rights, justified grounds that require the dissolution of the corporation and finally the alternative solutions that might be ruled by the court instead of the dissolution of the corporation are examined. Within this scope, this study mainly focuses on the Article 531 of the Turkish Commercial Code that openly refers the exclusion of the plaintiff minority shareholders from the corporation with a distiction from the adopted Article 73/4 of the Swiss Code of Obligations and ruling of the other solutions which are reasonable according to existing conditions on the court's own discretion.
