Representation of the joint stock company

Board of directors which is the mandatory part of the joint stock company represents the joint stock company, which is regulated in the Turkish Commercial Code numbered 6102, against third parties. The board of directors is the legal representative of the joint stock company. The Board of Directors can make all kinds of business or legal transactions on behalf of the company. İt can charge the company by using the company title against third parties and and it can make the company has rights and receivables. The board of directors can delegate the power to represent the company to its members or third parties. In this context, our study will consist of three main parts. In the first part, we will try to examine the representation authority in general. In addition, the concept of representation, the purpose of representation, the legal nature of the representation and the types of representation will be explained, after that the representation of legal entities (joint stock company not included) will be examined in the first part. In the second section, it will be tried to be analyzed representation of the joint-stock company by the board of directors in detail. In the third section, the subject of transfer of representation authority will be explained in detail. It is tried to be examined that limited representative delegation assigned by Law No. 6552 (Law Amending the Labor Law and Certain Decree Laws and Restructuring of Certain Receivables) . In the conclusion part of our study; we will finalize our work by expressing our suggestions and evaluations.
