Legal responsibility of board of directors of public limited companies with regard to competition vialotions

This study comprehensively examines the liabilities arising from antitrust law violations of board members in joint-stock companies through a multi-faceted approach. Ensuring that companies' board members comply with competition law and achieve sustainable growth targets is of critical importance. The first section of the study analyses the current situation of Turkish law on the subject, judicial decisions, and various legal regulations. The second part focuses on the specific situations and responsibilities of board members, particularly examining the obligations that may arise from competition violations. The third section approaches the subject within the framework of comparative law, examining how the legal systems of the United Kingdom and the United States regulate the liabilities arising from competition violations of board members. The fourth and final section focuses on how technological advancements, especially artificial intelligence technologies, transform the responsibilities of board members. It examines the potential impacts of the innovations brought about by the use of artificial intelligence in the context of competition law and board member responsibilities. The importance of internal control systems in preventing competition infringements is also emphasized in this section.
