Right to request special audit in joint stock companies

Shareholders' right to request special audit in joint stock companies is one of the most important rights which protects shareholders. It is also an important balance mechanism which aims to prevent potential conflicts between shareholders and company. Therefore, in this regard execution of an expedient and efficient process is crucial. In this study, both legal regulations regarding shareholders' right to request special audit in previous Turkish Commercial Code and current Turkish Commercial Code has been reviewed in detail. Furthermore it is aimed to be understand if the law-maker achieved to revise the previous regulation which prevents to exercise of right to request special audit and create a more functional regulation. Another aim of this study is to identify possible problems expected to face in practice and review different approaches of the authors to this possible problems in doctrine. Undoubtfully companies and courts have a crucial role to achieve an efficient process of requesting special audit.
