Abstract (EN)

Public held company, unlike joint stock company, consist of a lot of shareholders. These shareholders do not know each other. The only and biggest purpose of these shareholders is to make a profit. Therefore, the bond between shareholders and the company is weak. For this reason, Capital Markets Law provides shareholders with the opportunity to leave by selling their shares to the company. In this case, three important features of the appriasal right. (1) The appriasal right arises when fundamental corporate changes are carried out. (2) Shareholders are paid a fair price by the company. (3) Shareholder status of those who exercise their appraisal right ends. The appraisal right allows those who want to terminate their shareholding to sell their shares. On the other hand, it creates a significant financial burden on the company.
