Minority's and shareholder's right to call for general assembly meeting in a closed joint-stock company

As per the Turkish Commercial Code No. 6102 and the regulations in the secondary legislation, the most preferred type of company among capital companies in practice is the closed joint-stock company. The general assembly is one of the two mandatory organs of the joint-stock company where the shareholders attend the meetings themselves or through their representatives, take decisions by voting, use their shareholder rights, and obtain information about the operation of the company. Accordingly, in our thesis the general assembly is emphasized firstly, the classification of the general assembly meetings and those who are authorized to call and call in the general assembly meetings are examined, by focusing on the general assembly, the nature of the organs and the relationship with the board of directors, the definition and legal nature of the general assembly resolution. Subsequently, the right to call the general assembly, which was not stipulated under the old Turkish Commercial Code No. 6762 but is granted to the shareholder for the first time with the Turkish Commercial Code No. 6102, the reasons and consequences of the recognition of this right along with the material and procedural conditions of the sole shareholder's use of the right to call is explained as well as the applicability of this right in terms of companies with sole shareholder is evaluated. Finally, by emphasizing the right to call the general assembly meeting of the minority the concept of minority and the procedure for calling the general assembly meeting by the minority is explained in detail.
