Corporate governance mechanism of structure of the board of directors impact on performance in the company: A study on joint - stock company in Afyonkarahi̇sar

The main purpose of this study is to investigate the impact of the board of directors structure to companies performance of Corporate Governance mechanisms. The survey questions are prepared with referances to SPK (Capital Market Board) and OECD's corporate governance principles. The survey is applied to 54 board members in Afyonkarahisar. Findings reveal that performance is positively related with the board members size. CEO–chairman duality has negatif impact on firm performans. On the other hand finds reveal that performance is negatively related with executive members. In addition, CEO–chairman duality has negatif impact on company performans.
