Abstract (EN)
This study focuses on the transfer of capital shares, rights, and obligations in limited liability companies through inheritance, provisions regarding marital property, and execution proceedings as specified in Article 596 of the Turkish Commercial Code (TCC) numbered 6102. The thesis consists of three parts, where the transfer of capital shares through inheritance, provisions regarding marital property, and execution proceedings is discussed. The first chapter of this study explains the concept of capital shares, their characteristics, and the original and derivative acquisition of capital shares in limited liability companies. The second chapter explores the scope of Article 596 of TCC and the legal proceedings that the parties may undertake. In the final section, we examine the effects of transfers of capital shares through inheritance, provisions regarding marital property, and execution proceedings, as well as the companies' rejection of these transfers in accordance with Article 596/2 of TCC.
