The right to exit from a limited liability company

Limited liability companies; is a capital based partnership with legal personality that the partners are not responsible for the partnership debts, owed to the company in proportion to the basic capital they commit, and that the personal characteristics are preliminary. Limited companies are a structure in which both the personal and the capital based partnership characteristics are blended together by the flexibility of the internal organization of the personal based partnership and the limitations of liability of the capital based partnership. It is a type of partnership that is usually formed by a small group of partners who know each other well, and it is very convenient in terms of the activities of family partnerships. Due to these differences, trust between partners is more important in limited liability companies than in joint stock companies. This is a priority in the case of limited liability companies, as long as the protection of the trust environment and the interests of the partnership relationship are balanced. Under this principle, the right to exit from the partnership at the point where there is no interest in continuing the partnership relationship and the continuation of this relationship becomes impossible. The right to exit, which is dealt with in detail in the Turkish Commercial Code, can be used for a reason based on the Company's contract, by way of justified cause-based litigation, or by joining to exit which is a newly created entity. According to the principle of protection of capital in joint-stock companies, partners are not allowed to leave the partnership. In this study, partner's right to exit from partnership which is settled by law under the section of termination and seperation will be examined together with its reasons and results.
