Abstract (EN)
Concept of CEO, which is not take part in Turkish legislation, also has not been take part and define in other countries legislations. However, the existence and status of CEO has acknowledged as an inevitable result of division of management and control; rules regarding this duty has been constituted with corporate governance regulations. In other words, CEO has emerged an important role in company in practice and as a concept reflects to principles of corporate governance. Nowadays, all executive officers in the world and Turkey are referred as CEO and word of CEO is often used recently. Nevertheless, mentioning with CEO, we can see that it does not fill in the interior of this concept in great detail, and in particular that there is no assessment of the legal point of view. Therefore, this subject must need to be examined in terms of the Turkish legal system. Thus, it is intented to overcome some problems related to conceptual confusion in the Turkish joint-stock companies may face in the future and delegation of authority. Key Words: 1. CEO 2.
