Abstract (EN)
The main purpose of this study is to determine the existing network of the board of directors which is widely seen among Turkish family company groups in the context of corporate governance by taking into consideration the new regulations of Turkish Commercial Law. In this regard, common network structure of board of directors by using secondary data about sample firms are put forth. Then, the influences of the structures of board of directors on the number and profiles of common board members are examined by taking into account a series of control variables. Lastly, the level of impacts made by the new Turkish Commercial Law on common management rules is tried to be determined by comparing 2011 and 2014. When the results of the analysis are evaluated in general, it is found out that size of the board of directors and share of internal members affect positively, whereas share of women members affect negatively common board membership. When the whole network is taken into account, it is found out that the most central part of agents who hold common membership in corporations are comprised of family members ,or internal members regarded as a part of family members as a result of their long working time within the company,or company CEOs who have a wide range of experiences in automotive sector. With regard to the impacts of the Turkish Commercial Law, apart from common family membership of the board, it seems that meaningful differences between before and after the law are found.
