As a result of the principle of majority in law of joint stock companies, decision-making bodies are under the control of the majority and the minority is fully subject to the majority domination. In this case, is created a fertile ground for the majority shareholders to abuse their power and violate minority rights and interests. Therefore in joint-stock companies, there is a need for minority protection against violation of shareholders interests and rights such as profit share, the right to attend General Assembly and voting rights, within the framework of a permanent suppression policy.Minority rights and lawsuits provided by actual Commercial Code, are insufficient to eliminate the violations which have become systematic. In order to meet this need, in the 531th article of the new Commercial Code, ?dissolution of joint stock companies with just causes?, has been regulated as a minority right. This study, aims to examine the conditions of the lawsuit in the new Commercial Code, the scope of the court?s decision-making power and other important characteristics of the case.
