The concept of option within the context of joint stock companies and specific rights related to transfer of shares

The subject of the study comprises research on the concept of option, option contracts and similar rights that have specific transferability features in joint stock companies. Such rights are commonly utilized in legal practice related to joint stock companies, in particular in mergers and acquisitions. However, despite the common usage and important function fulfilled by such rights, there are no specific provisions with respect to such rights under the Turkish Commercial Code. The research is focused on first offer/right of first refusal, pre-emption, repurchase, call and put rights, drag along and tag along rights.
