Abstract (EN)
This study has been conducted in light of the preamble to Article 374 of the Turkish Commercial Code to evaluate whether it is possible to delegate management authority—excluding the inalienable and non-transferable duties and powers of the board of directors—to the general assembly; whether the articles of association can subject the board's management decisions to the approval of the general assembly; and whether the board of directors can submit management decisions to the approval of the general assembly to evade responsibility.
