Abstract (EN)
The subject of this study is "Privileged shares in Joint Stock Companies". Privileged shares are regulated under article 478 of Turkish Commercial Code. This study consists of three sections. In the first section, to clarify the meaning of privileged shares, the definition and characteristics of share is described. Subsequently, the terminology of privileged shares, the status of privileged shares in comparison to similar terms and the examples regarding the principles used to identify the privileged shares in light of Supreme Court decision are set forth in detail. In the second section of the study, the types of privileged shares and how the provisions regarding privileged shares are organized under Turkish Commercial Code is examined. Under the title of "Protection of Privileges in Joint Stock Companies and Special Privileged Shareholders Meeting" in the last section, how the privileged shareholders are put under protection in cases when their rights are violated by the general assembly resolution is emphasized.
