Abstract (EN)
The Turkish Commercial Code (Law No: 6102) introduced a special provision regarding the duty of care of board members in joint-stock companies. This provision regulates that the members of the Board of Directors, who do not act as a cautious manager, will be deemed to have violated the duty of diligence. When determining the responsibilities of the members of the board of directors in joint stock companies, it is taken into account whether they are taking care to determine whether they are defective in the works and transactions subject to the responsibility cases. In our thesis, the duty of care of the board members in joint-stock companies are examined.
