Abstract (EN)

The subject of this study is the division process in joint stock companies, which is one of the restructuring processes of capital companies in the Turkish Commercial Code. The evaluation of this study, which consists of four parts, within the scope of the Turkish Commercial Code and the Swiss Consolidation Law, the stages in the division of joint stock companies, the management body of the company, the general assembly, and the duties of the company partners in Articles 159-179 of the Turkish Commercial Code. The examination of the provisions in the articles guided. In line with this argument, the demerger procedure of joint stock companies in the Turkish Commercial Code and the effect of the demerger on the company have been examined. In order for the research to reach consistent findings and results, the Swiss Consolidation Law and the German Commercial Code (Handelsgesetzbuch) were examined, and accordingly, the relevant provisions of the Turkish Commercial Code were interpreted and discussed in a comparative context in line with the application.
