Appoi̇ntment and di̇smi̇ssal of the board of di̇rectors in joi̇nt stock company

In this study, it is aimed to examine the appointment of the board of directors, which is the mandatory body of joint stock companies, and the termination of their duties. Firstly, the concept of organ in legal entity is touched on and different opinions and ideas about the concept of organ are examined. Afterwards, the study details the required qualifications in the election of board of directors and the new regulation of Turkish Commercial Code No. 6102 which made it possible for legal entities to became members of the board of directors. At the end of this study, the issue related to the termination of the membership of the board of directos and common consequences of termination are discussed.
