The legal responsibilities of the members of the board of directors in joint stock company

The aim of this thesis is analysing the legal liabilities of board members and liability case in joint stock company issues. In the first chapter of our thesis firstly we will discuss the term board of directors of joint-stock company; then qualifications of the member of board and rights, duties, competences of board members under the 6102 numbered Turkish Commercial Code. In the second chapter, the legal responsibility of the members of the board of directors will be dealt with under the Turkish Commercial Code No. 6102. Within the same framework, responsibility, quality and features will be discussed. In this study, responsibilities of the members of the board of directors because of the public debts, especially their responsibilities in Law on the Procedure of Collection of Public Receivables No. 6183 and in Tax Procedure Law will be studied. In the last chapter, the lawsuit opened against members when the responsibility for liability is not complied, and its characteristics will be mentioned. Finally, the characteristics of discharge and the statute of limitations which appear as two cases eliminating the responsibi lity of the board of directors, will be examined.
