Abstract (EN)

The objective of this LLM dissertation is an analysis of the legal structure pertaining to the operation of the Wholesale Natural Gas Contracts as laid down by the Law no. 4646, Natural Gas Market Law, as well as, by the Turkish Law of Obligations The first chapter includes an overall description of the legal system where we give a brief explanation on the Energy Market Regulatory Authority and mention certain activities in the natural gas market, such as; the export, generation, transmission, storage, wholesale and city distribution.In the second chapter, the legal nature, subject and parties of the natural gas wholesale contracts are gauged and the mentioned contract is defined as a particular type of sale contract.Third chapter includes a detailed study of the obligations of the parties to the natural gas wholesale contracts. As regards the obligations of the seller; delivery of the good, transfer of ownership, payment of the transportation and delivery expenses, warranty against defects, storage and notification to the buyer, are examined. With respect to the obligations of the buyer, we first study the obligations, in terms of Law of Obligations, that is, obligation to pay the fee and to receive the good. Then we turn to explore the obligations which are proper to the wholesale natural gas contracts. These may be listed as follows: compliance to the limits of gas absorption, obligations as stipulated by the take or pay clause, due-care and non-intervention to the station and measurement facilities, as well as, providing access to these facilities for the seller.Finally in the fifth chapter, within the framework of Law of Obligations and considering the particularities of the natural gas wholesale contracts, we reflect on the termination of the contract and prescription.
