Venture capital investment trusts and shareholders agreements

Venture capital investment trusts are companies, which specifically aim to realize venture capital investments. Legal structure and operation of these companies have a significant role in the success of venture capital investments. In this thesis, venture capital is analyzed from a conceptual point of view. Then legal characteristics of venture capital investment trusts in Turkey are investigated. Subsequently, the legal nature of shareholders agreements, which are commonly utilized for venture capital investments, is evaluated. Last but not least, provisions of shareholders agreements which are frequently benefitted in venture capital investments are examined according to the principles of commercial/companies law and law of obligations.
