Abstract (EN)

Publicly held joint-stock companies are subject to particular regulations in some matters vis-à-vis non-public joint-stock companies due to their nature. One of such particular regulations is the appraisal right provided for the shareholders of publicly held companies. Under Turkish law, the appraisal right is conditioned to the decision of the general assembly with respect to the execution of a significant transaction and the fulfilment of certain formal requirements by the shareholders. The significant transactions which the appraisal right arises out of are listed in Article 23 of the Capital Market Law (CML). In this thesis entitled "Transactions Causing the Disposal of the Significant Part of the Assets for Publicly Held Companies", only one of the such significant transactions which is set out in Article 23/1 (b) of the CML as "transfer of, renting or establishing a right in rem over the whole or a significant part of its assets" and the process for the decision and the utilisation of the appraisal right in this respect will be addressed.
