Capital markets have a major function in economic development due to the fact that financial sources are transferred from the investors making investments in securities issued by the issuers to the companies requiring them. Capital markets are mainly implemented with the Capital Markets Law numbered 2499 and published in the trade registry gazette dated July, 30 1981 and numbered 17416. The principal purpose of this thesis is to study and examine definitions and legal qualifications of the terms ?issue? and ?public offering?, the public offering process and the public offerings methods as per Turkish Capital Markets Law, American Capital Markets Law and European Capital Markets Law.
