Board of directors and board committees in implementation of the corporate governance principles

Domination of the concept of the corporate governance in a globalizing world and acting in line with the principles set out by legislators in this regard are not only a statutory obligation but also inevitable for the companies to exist. Likewise, it is aimed with the concept of corporate governance that the companies continue to operate as per the founding purposes by preventing the managerial difficulties, conflict between the powers and the conflict of interest, which the companies will experience. The concept of corporate governance has become critically important across the world in recent years and has constituted one of the most essential agenda items of the companies. OECD published for the very reason Principles of Corporate Governance for being a model and guide to all countries. Based on the Principles, in our country the Capital Markets Board promulgated the Principles of Corporate Governance by announcing the Communique on Determination and Implementation of the Principle of Corporate Governance. This study analyzes the concept and principles of corporate governance and elaborates the topics such as the effect of the principles of corporate governance on the management and sustainability of the companies, the roles of the company units in the implementation of the aforementioned principles; and explains the importance of the relationship between the units in order to maintain ideal company management.
