Applicability of corporate governance: A research in corporations in Giresun

In this study, it was attempted to investigate the importance of corporate governance for corporations. Institutionalization, corporate governance and the principles were introduced.Herakleitos says, ?The only constant is change.? So, enterprises have to keep pace with the process of change occurring in life. They maintain their existence as long as they care about changes in the environment. The concept of traditional management in business has evolved with the transition to an information society and a new perspective regarding each employee as a partner of enterprise has emerged. Enterprises involve all strategic employees to determine long-term objectives. Single person or single centred decisions have been replaced by common decisions. Creating an appropriate atmosphere for this reason has revealed a new concept; governance.In this study, compliance of corporations with the principles of corporate governance in Giresun, stated and supported as one of the prior provinces for development by the government, and applicability of these principles in this framework were analyzed based on OECD Corporate Governance Principles and CMB Corporate Governance Principles. The enterprises included in the survey were generally fulfil the requirements of corporate governance.Keywords: Business Management, Institutionalization, Corporate Governance, Board of Directors
