Electronic decision making and meeting principles of general assembly of limited liability company

Turkish Commercial Code numbered 6102 brings a new regulation at Company Law. This regulation makes electronic general assembly at limited liability companies possible. According to Turkish Commercial Code clause 1527, subclause 2, general assembly can be held at electronic media. In our thesis we want to explain how general assembly can be held at electronic media. However, first of all we need indicating the meaning of electronic media.According to Turkish Commercial Code, electronic media means internet platform. Joining the meetings by using internet must be allowed at company contract and company must establish a web site for this purpose. If any of shareholders want to join the meetings by using the internet must demand this form company. At limited liability companies only online general assembly are allowed; therefore, a physical meeting must be held.In our thesis we want to explain, how online general assembly can be held; how shareholders join the meetings; working of Electronic Meeting System which holds the meetings in; usage of rights like joining the negotiations, making proposals and voting of online participants.Key WordsCompany law, limited liability company, general assembly, general meeting, electronic media, virtual general assembly, online general assembly.
