Legal responsibilility of limited company directors

Limited companies are the most common type of company in our country. After the date of 01.07.2012, when the Turkish Commercial Code No. 6102 came into force, it has brought many new regulations in limited companies. Limited companies are legal entities. For this reason, they exist with their organs. In limited companies, there are 2 obligatory units called the general assembly and the board of directors. Board of directors is authorized to manage and represent limited companies. Although new regulations regarding limited liability companies are foreseen in the Turkish Commercial Code No. 6102, Most of the provisions regarding incorporated companies are applied to limited companies by reference. Our study aims to examine the qualifications of the directors, the ways and processes of gaining the title of directors and their duties and responsibilities within the framework of the views in the doctrine.
