Share tranfer agreement in limited company

The transfer of shares in limited liability companies is subject to a different regulation than joint stock companies under the Turkish Commercial Code. When the current high court decisions are examined, it is seen that there are many disputes arising from the transfer of the share agreements. In this thesis, the form, elements and invalidity states of share transfer agreements are examined primarily. Afterwards, the approval phase of the transfer by the general assembly, entry to the book of share and registration on the commercial registry phases were examined. The consequences of share transfer and the resolution of disputes arising from share transfer agreements through arbitration and mediation constitute the third part of our thesis.
