Abstract (EN)
One of the most preferred growth methods of companies both in the past centuries and today is company mergers. As in the past, companies increase their economic power by joining a company or joining another company or by coming together to form a new formation, and they create a synergy with their mergers. Mergers of companies are a process that consists of certain procedures and formalities stipulated in the legislation, which is often a long time and can be called complex. In this process, there are many transactions that companies that desire and intend to merge need to do in order to merger. In this context, the transactions carried out constitute the legal responsibilities of the merged companies. These responsibilities constitute the basis and subject of the study we have done. Within the scope of our study, firstly, the merger methods and principles of the companies were discussed and examined in detail on the basis of the regulations in the Turkish Commercial Code and other legislation. In the second part of our study, the issue of legal responsibility arising from the company mergers that constitute our subject of study is discussed in detail in various aspects. In this context, the responsibilities of the shareholders of the company and the company's management bodies arising from the merger, the responsibilities of the merged companies in terms of public receivables, the responsibilities of the companies due to receivables and debts, the responsibilities arising from the mergers of the public companies and finally the responsibilities arising from the cancellation of the merger and the resulting deficiencies were examined.
