Trade registry procedures and the legal consequences of registration in the trade registry

The Trade Registry is an official, public record that centrally registers information and documents important to commercial activities, making them available to third parties. It facilitates trust in commercial activities and has foundational and explanatory effects. In this context, our thesis titled "Trade Registry Procedures and the Legal Consequences of Registration in the Trade Registry" aims to examine the procedures carried out in the trade registry under the Turkish Commercial Code No. 6102 and the Trade Registry Regulation No. 5995 issued based on it. The study focuses on the effects of registration in the trade registry on the relevant parties and third parties, as well as the responsibilities arising from damages due to the maintenance of the trade registry. Within this framework, in the first part, the definition, legal character, purpose and functions of the concept of trade registry and the transactions carried out in the trade registry are discussed. The second section addresses the legal consequences of registration in the trade registry, examining the legal effects on the relevant parties and on third parties, and the protection of trust in the trade registry in the context of Article 37 of the Turkish Commercial Code. In the third section, the conditions of liability arising from the maintenance of the trade registry are addressed, focusing on the damages incurred due to the maintenance of the trade registry and the responsibilities of the involved parties, the state, and the relevant chambers of commerce and industry. Additionally, the conditions of liability, the principles of compensation claims, and the recourse mechanism concerning the liability of the registry director and the related registry personnel are discussed. Finally, the study concludes with an evaluation of the legal remedies available against trade registry transactions.
