Abstract (EN)
The exclusive distribution agreements always have a competition restricting effect due to the prohibition of sale of the rival goods by the exclusive distributor, prohibition of the producer to resell the goods to the other resellers within the same territory and prohibition of the producer to sell directly in the agreement territory. Agreements in purpose of purchase, sale or resale of goods and services between two or more enterprises operating in different levels of production or distribution chain are expressed as vertical agreements. The agreements conform with this definition shall be exempted from the prohibitions provided that they meet the relevant exemption conditions. The exemption may be subject to termination at any time or may be deemed as not granted depending on the existence of certain conditions. Therefore there is no problem in concluding the exclusive distribution agreements with a definite or indefinite term.
