Abstract (EN)
Determining the limits within which the shareholder's right to obtain information – one of the most important rights granted to shareholders – may be exercised is crucial for both shareholders and the company. Indeed, numerous disputes have arisen in practice concerning this issue. Against this background, the main aim of this study is therefore to clarify, as far as possible, the limitations on the exercise of the right to obtain information, with a particular focus on company secrets and other company interests that require protection under Article 437/3 of the Turkish Commercial Code numbered 6102 and to shed some light on potential disputes that may arise in practice regarding this matter. In this context, the first part of the study examines the fundamental limitations on the exercise of the right. The second part focuses on the limits regarding the disclosure of information to shareholders. Finally, the third part considers the legal consequences of the unjust refusal of a request for information.
