Abstract (EN)
As a rule, joint-stock companies are governed by the majority principle, and decisions are taken with the affirmative majority vote in the general assembly. This position leaves the minority and company interests in the shadow of the majority. As a solution, the minority was granted several rights and therefore protected from the majority's oppression. Shareholder(s) who own 10% of the capital in private equity firms and 5% in public joint-stock companies constitute the minority. To exercise the rights granted to the minority by the Turkish Commercial Code No. 6102, the shareholder(s) must reach these specified rates per company type. In Turkish Commercial Code No. 6762, some rights were granted to the minority. However, with the Turkish Commercial Code No. 6102, the problems faced by the minority in practice were provided with appropriate solutions, and broader rights were granted to the minority. Therefore, in this study, the rights granted to the minority in the Code No. 6102 are examined as positive minority rights and negative minority rights.
