Abstract (EN)
Our thesis, which examines the legal consequences of exit and expulsion from partnership in limited companies, consists of three chapters. In the first chapter, the concepts of exit and expulsion from partnership and types of exit and expulsion regulated by the company agreement and law are examined. In the second chapter of our thesis, legal consequences of exit and expulsion from partnership in limited companies are examined together with the topics of; the effects of exit and expulsion on company's internal relations, the effects of exit and expulsion on company's external relations, the time of exit and expulsion, termination of the partnership title and status of the rights and liabilities depending to this title, registration of exit and expulsion, status of the competition ban for the exiting shareholder, company's becoming a single shareholder company due to exit and expulsion, company's acquisation of its own shares due to exit and expulsion, actions for declaration or nullity for exit and expulsion process. In the third part of our thesis, the separation fee, which is the most important consequence of exit and expulsion, is examined together with the topics of; concept and structure of seperation fee, regulation of seperation fee by company agreement, determination of the amount of seperation fee by authorized body or court decision, calculation of seperation fee, maturity, payment methods, interest for separation fee, status of the separation fee among other receivables and lapse of time for separation fee.
