Abstract (EN)

In this study, the public supervision of joint-stock companies, a key element of the country's economic activity chain, was examined. This supervision, conducted through the Ministry of Trade, was theoretically analyzed from the perspective of Administrative Law due to the Ministry's position within the state's legal personality. Subsequently, the Ministry's audit and supervision duties under the Turkish Commercial Code No. 6102 and its secondary legislation were investigated, and these powers were comparatively reviewed against past regulations. As the audit and supervision duties granted to the Ministry under Law No. 6102 are not regulated as a whole within the Law and some of the provisions are open-ended, the study required a detailed investigation and a review of legal doctrine. Following the procedures the Ministry should follow when exercising its audit and supervision authority, the measures it can take to remedy the deficiencies and violations it identifies, particularly its authority to file for dissolution, were examined. After clarifying the nature and procedures of these lawsuits, controversial issues were addressed, and solutions were proposed.
