Abstract (EN)
Turkish Commercial Code containing radical changes in the field of trade, gives place to reformist approaches and contemporary expansions particularly for trade companies. In an environment where uninhibited capital and increased competition, in the spirit of Turkish Commercial Code, there is a purpose of an arrangement to prepare Turkey for the future who is compatible with international institutions and the rules. Together with the Turkish Commercial Code, a process of change has begun which is important for our country's commercial life, and radical changes have revealed in the management of the companies. This change is undoubtedly closely related with commercial businesses and commercial life. Turkish Commercial Code prepared for this purpose, include many embodiments changes in the former Turkish Commercial Code, and also introduced a new set of regulations. In this study, in the Turkish Commercial Code, for joint stock companies and limited liability companies, mergers, demergers, group of companies, type conversions and control arrangements have been investigated. As new targets of the Turkish Commercial Code, with a culture of entrepreneurship and capital accumulation has been demonstrated in corporate governance arrangements. In the fourth part of the study, a survey has been conducted to measure the attitudes arrangements in the list of 500 business executives in Istanbul Chamber of Industry (ISO) in year 2012.
