Abstract (EN)

Under the Act numbered 4054 on the Protection of the Competition, the concept of control is of importance in the control of mergers and acquisitions and in determining undertakings. Even if relevant act does not define the concept of control, both the by-laws of the Turkish Competition Board and its practice enlighten us in defining the control. The Turkish Commercial Code numbered 6102, which is in force, has introduced the society of companies, and any rights and obligations arising therefrom. In determining the dominant and its subsidiary companies, the concept of control is of importance in the scope of the society of companies. This work examines the concept of control in both Turkish Competition Law and in the society of companies provided by the Turkish Commercial Law; it makes a comparison between two disciplines, and discusses their possible interactions.
