The limits of the trade registry's power to review joint stock company organ decisions

The trade registry is an official registry where important information on commercial life is shared with the public. The trade registry, which acts as a sieve, conducts compliance with the law within the scope of its duty of review. The trade registry directorate evaluates the registration requests addressed to it under three headings as compliance with the legal conditions, compliance with public order and compliance with the facts, and either performs the final registration, rejects the registration request or notifies the relevant persons that it may perform provisional registration. Provisional registration is a possible way in terms of matters that are subject to a court decision and matters where the registry director is in doubt. The limits of the duty of review of the trade registry director are subject to important debates. In this thesis, we aim to determine the limits of the duty of review of the trade registry in the context of general assembly and board of directors decisions of joint stock companies. Within this framework, we will try to shed light on the inconsistencies between the Trade Registry Regulation and the Turkish Commercial Code, the function of the provisional registration institution in the duty of examination, the effect of the principle of mandatory provisions regarding the amendments to the articles of association in the registry law, and how the trade registry director should act in invalid joint-stock company body decisions.
