Legal Responsibilities of Joint Stock Company Board Members According to Turkish Commercial Code The board of directors of a joint stock company is a body authorized to manage and represent, where the shareholders of the company entrust the protection and evaluation of their capital, and the creditors of the company entrust their receivables. The board of directors manages and represents the company, as a compulsory body stipulated by law, from the moment the joint stock company acquires its legal personality until the moment it is dissolved and goes into liquidation, and even in the liquidation process, albeit limited. It has an impact on the rights and interests of the company's creditors, the company and its shareholders. Members of the board of directors are under the obligation to fulfill their duties with the care of a prudent manager and to observe the interests of the partnership by following the rules of honesty. Members of the board of directors are responsible for fulfilling their representation and administration duties in accordance with the law and the articles of association. In this study, the structure of the joint stock company's board of directors, the duties, authorities and obligations of the members of the board of directors according to the Turkish Commercial Code (TTK), and their responsibilities, The firsts that dominate the responsibilities of the members of the board of directors, and especially in the case of the joint responsibilities of the members, the successive relationship between them are examined within the framework of judicial decisions and doctrinal views.
